Agreement to Terms

Welcome to Nuvendex. These Terms of Service ("Terms") govern your use of our cryptocurrency trading platform and services. By accessing or using Nuvendex, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES. Please read these Terms carefully before using our platform.

1. Eligibility

To use Nuvendex, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Not be located in a jurisdiction where cryptocurrency trading is prohibited
• Complete our registration process and KYC verification

By creating an account, you represent and warrant that you meet these eligibility requirements.

2. Account Registration and Security

2.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

2.2 Account Security

You agree to:

• Use a strong, unique password
• Enable two-factor authentication (2FA) when available
• Not share your account credentials with anyone
• Notify us immediately of any unauthorized access
• Take responsibility for all activities under your account

2.3 KYC Verification

We require identity verification (KYC) to comply with anti-money laundering (AML) regulations. You must provide valid identification documents and other information as requested.

3. Services

3.1 Trading Services

Nuvendex provides a platform for buying, selling, and swapping cryptocurrencies. We support Bitcoin (BTC), Ethereum (ETH), Litecoin (LTC), Ripple (XRP), Tether (USDT), and Dogecoin (DOGE).

3.2 Trading Bots

We offer automated trading bot services including Grid Trading, DCA (Dollar-Cost Averaging), and Scalping bots. Trading bots involve risk, and past performance does not guarantee future results.

3.3 Wallet Services

We provide custodial wallet services for storing your cryptocurrencies. While we implement security measures, you acknowledge the inherent risks of digital asset storage.

4. Fees and Charges

You agree to pay all applicable fees for using our services:

• Trading Fees: We charge a percentage fee on cryptocurrency swaps
• Withdrawal Fees: Network fees apply to cryptocurrency withdrawals
• Bot Fees: Some trading bots may have subscription or performance fees
• Other Fees: Additional fees may apply for premium features

Current fee schedules are available on our platform. We reserve the right to modify fees with notice.

5. Prohibited Activities

You agree NOT to:

• Use our services for illegal activities or money laundering
• Manipulate prices or engage in market manipulation
• Attempt to gain unauthorized access to our systems
• Use bots or automated systems (except our approved trading bots)
• Provide false or misleading information
• Violate any applicable laws or regulations
• Interfere with other users' use of the platform
• Reverse engineer or copy our software
• Create multiple accounts to circumvent restrictions

Violation of these prohibitions may result in account suspension or termination.

6. Risks

Cryptocurrency trading involves significant risk. You acknowledge and accept the following risks:

• Price Volatility: Cryptocurrency prices can fluctuate dramatically
• Loss of Funds: You may lose some or all of your investment
• Technical Risks: Platform downtime, bugs, or technical issues may occur
• Security Risks: Despite our security measures, breaches are possible
• Regulatory Risks: Laws and regulations may change
• Irreversibility: Cryptocurrency transactions cannot be reversed
• Bot Performance: Trading bots may not perform as expected

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding accuracy, reliability, or availability
• Warranties that the service will be uninterrupted or error-free
• Warranties regarding security or data protection

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVENDEX SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or data
• Business interruption or loss of opportunity
• Cryptocurrency price fluctuations or market losses
• Unauthorized access to your account
• Technical failures or service interruptions

Our total liability shall not exceed the fees you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Nuvendex, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any laws or regulations
• Your violation of third-party rights

10. Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Suspicious or fraudulent activity
• Failure to complete KYC verification
• Legal or regulatory requirements
• Extended inactivity

Upon termination, you may withdraw your funds subject to applicable fees and verification requirements.

11. Intellectual Property

All content, features, and functionality on Nuvendex are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

12. Privacy

Your use of our services is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

13. Dispute Resolution

13.1 Informal Resolution

If you have a dispute, please contact us first at support@nuvendex.com to attempt informal resolution.

13.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or representative proceedings.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or platform notification. Continued use of our services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
